      <enum>1.</enum>
      <header>Short title</header>
      <text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Stop Trading on Congressional Knowledge Act of 2012</short-title></quote> or the <quote><short-title>STOCK Act</short-title></quote>.</text>
    </section>

      <enum>2.</enum>
      <header>Definitions</header>
      <text display-inline="no-display-inline">In this Act:</text>
      <paragraph id="IDb873ab71e20d45e59b24d926b7e13f70">
        <enum>(1)</enum>
        <header>Member of Congress</header>
        <text>The term “Member of Congress” means a member of the Senate or House of Representatives, a Delegate to the House of Representatives, and the Resident Commissioner from Puerto Rico.</text>
      </paragraph>
      <paragraph id="HD18B2D9632F3481A9A65F03634E2364B">
        <enum>(2)</enum>
        <header>Employee of Congress</header>
        <text display-inline="yes-display-inline">The term <quote>employee of Congress</quote> means—</text>
        <subparagraph id="HACB6EB7813834B108101664A669A329D">
          <enum>(A)</enum>
          <text>any individual (other than a Member of Congress), whose compensation is disbursed by the Secretary of the Senate or the Chief Administrative Officer of the House of Representatives; and</text>
        </subparagraph>
        <subparagraph id="H49C1D196B697411C8A784BB5CE556175">
          <enum>(B)</enum>
          <text display-inline="yes-display-inline">any other officer or employee of the legislative branch (as defined in section 109(11) of the Ethics in Government Act of 1978 (5 U.S.C. App. 109(11))).</text>
        </subparagraph>
      </paragraph>
      <paragraph id="IDac1f28421b65465695f8745ad15c2474">
        <enum>(3)</enum>
        <header>Executive branch employee</header>
        <text>The term <quote>executive branch employee</quote>—</text>
        <subparagraph id="ID8f752017b95d4c1683ee7711b74a73af">
          <enum>(A)</enum>
          <text>has the meaning given the term <quote>employee</quote> under section 2105 of title 5, United States Code; and</text>
        </subparagraph>
        <subparagraph id="id6A094889C06746569DF7DBA61E9617A5">
          <enum>(B)</enum>
          <text>includes—</text>
          <clause id="id464263A107D44C12AFD0868E3077CFE4">
            <enum>(i)</enum>
            <text>the President;</text>
          </clause>
          <clause id="idC811D47474454FA7800BDB5005D0B2BB">
            <enum>(ii)</enum>
            <text>the Vice President; and</text>
          </clause>
          <clause id="id9DBFC7835EAC4CBC8C21E902891E92DE">
            <enum>(iii)</enum>
            <text>an employee of the United States Postal Service or the Postal Regulatory Commission.</text>
          </clause>
        </subparagraph>
      </paragraph>
      <paragraph id="idA75FB5CC206140AE8168CF54184396D9">
        <enum>(4)</enum>
        <header>Judicial officer</header>
        <text display-inline="yes-display-inline">The term <quote>judicial officer</quote> has the meaning given that term under section 109(10) of the Ethics in Government Act of 1978 (U.S.C. App. 109(10)) .</text>
      </paragraph>

        <enum>(5)</enum>
        <header>Judicial employee</header>
        <text display-inline="yes-display-inline">The term <quote>judicial employee</quote> has the meaning given that term in section 109(8) of the Ethics in Government Act of 1978 (5 U.S.C. App. 109(8)).</text>
      </paragraph>

        <enum>(6)</enum>
        <header>Supervising ethics office</header>
        <text display-inline="yes-display-inline">The term <quote>supervising ethics office</quote> has the meaning given that term in section 109(18) of the Ethics in Government Act of 1978 (5 U.S.C. App. 109(18)).</text>
      </paragraph>
    </section>
    <section id="idF22CD18CBEFD48FFA25846496ADEB429">
      <enum>3.</enum>
      <header>Prohibition of the use of nonpublic information for private profit</header>
      <text display-inline="no-display-inline">The Select Committee on Ethics of the Senate and the Committee on Ethics of the House of Representatives shall issue interpretive guidance of the relevant rules of each chamber, including rules on conflicts of interest and gifts, clarifying that a Member of Congress and an employee of Congress may not use nonpublic information derived from such person’s position as a Member of Congress or employee of Congress or gained from the performance of such person’s official responsibilities as a means for making a private profit.</text>
    </section>

      <enum>4.</enum>
      <header>Prohibition of insider trading</header>
      <subsection id="id088D8F6578B24703A330882A9947A69F">
        <enum>(a)</enum>
        <header>Affirmation of nonexemption</header>
        <text display-inline="yes-display-inline">Members of Congress and employees of Congress are not exempt from the insider trading prohibitions arising under the securities laws, including section 10(b) of the Securities Exchange Act of 1934 and Rule 10b–5 thereunder.</text>
      </subsection>
      <subsection id="idB7F12DEF7AD94960A72D9D0B944C662E">
        <enum>(b)</enum>
        <header>Duty</header>
        <paragraph id="id4B5F6E029B304B9CB91E2FAB11D6C80B">
          <enum>(1)</enum>
          <header>Purpose</header>
          <text display-inline="yes-display-inline">The purpose of the amendment made by this subsection is to affirm a duty arising from a relationship of trust and confidence owed by each Member of Congress and each employee of Congress.</text>
        </paragraph>

          <enum>(2)</enum>
          <header>Amendment</header>
          <text display-inline="yes-display-inline">Section 21A of the Securities Exchange Act of 1934 (15 U.S.C. 78u–1) is amended by adding at the end the following:</text>

              <enum>(g)</enum>
              <header>Duty of Members and employees of Congress</header>
              <paragraph id="idAC25D8BE2EC8433B820B5A75A8595238">
                <enum>(1)</enum>
                <header>In general</header>
                <text display-inline="yes-display-inline">For purposes of the insider trading prohibitions arising under the securities laws, including section 10(b) and Rule 10b–5 thereunder, each Member of Congress or employee of Congress owes a duty arising from a relationship of trust and confidence to the Congress, the United States Government, and the citizens of the United States with respect to material, nonpublic information derived from such person’s position as a Member of Congress or employee of Congress or gained from the performance of such person’s official responsibilities.</text>
              </paragraph>

                <enum>(2)</enum>
                <header>Definitions</header>
                <text display-inline="yes-display-inline">In this subsection—</text>
                <subparagraph id="idE03AA822C2EA4B23AC520A921A901E57">
                  <enum>(A)</enum>
                  <text display-inline="yes-display-inline">the term <quote>Member of Congress</quote> means a member of the Senate or House of Representatives, a Delegate to the House of Representatives, and the Resident Commissioner from Puerto Rico; and</text>
                </subparagraph>
                <subparagraph id="HF0E5CEBE006D4A63AC91243E469CD4A2">
                  <enum>(B)</enum>
                  <text display-inline="yes-display-inline">the term <quote>employee of Congress</quote> means—</text>

                    <enum>(i)</enum>
                    <text display-inline="yes-display-inline">any individual (other than a Member of Congress), whose compensation is disbursed by the Secretary of the Senate or the Chief Administrative Officer of the House of Representatives; and</text>

                    <enum>(ii)</enum>
                    <text display-inline="yes-display-inline">any other officer or employee of the legislative branch (as defined in section 109(11) of the Ethics in Government Act of 1978 (5 U.S.C. App. 109(11))).</text>
                  </clause>
                </subparagraph>
              </paragraph>
              <paragraph id="idF2722BE5225D41BAA40E7D34EF38E88A">
                <enum>(3)</enum>
                <header>Rule of construction</header>
                <text display-inline="yes-display-inline">Nothing in this subsection shall be construed to impair or limit the construction of the existing antifraud provisions of the securities laws or the authority of the Commission under those provisions.</text>
              </paragraph>
            </subsection>

      </subsection>
    </section>

      <enum>5.</enum>
      <header>Conforming changes to the Commodity Exchange Act</header>
      <text display-inline="no-display-inline">Section 4c(a) of the Commodity Exchange Act (7 U.S.C. 6c(a)) is amended—</text>
      <paragraph id="idEA4E9CDF6D374DCE8E1A83ADFC1AB8A6">
        <enum>(1)</enum>
        <text display-inline="yes-display-inline">in paragraph (3), in the matter preceding subparagraph (A)—</text>
        <subparagraph id="idE469CDF9CD1248C0AA6A53A2FDFAEFA9">
          <enum>(A)</enum>
          <text display-inline="yes-display-inline">by inserting <quote>or any Member of Congress or employee of Congress (as such terms are defined under section 2 of the STOCK Act) or any judicial officer or judicial employee (as such terms are defined, respectively, under section 2 of the STOCK Act)</quote> after <quote>Federal Government</quote> the first place it appears;</text>
        </subparagraph>

          </clause>
        </subparagraph>
      </paragraph>
    </section>
    <section id="ID28c4636d05714b70b3db16818f35e577">
      <enum>6.</enum>
      <header>Prompt reporting of financial transactions</header>
      <subsection id="ID69f59064cc8344eeb3bafdbd92787f7d">
        <enum>(a)</enum>
        <header>Reporting requirement</header>
        <text>Section 103 of the Ethics in Government Act of 1978 (5 U.S.C. App. 103) is amended by adding at the end the following subsection:</text>

          <subsection id="ID8012d40521b14c93b205447afc56a22f">
            <enum>(l)</enum>
            <text>Not later than 30 days after receiving notification of any transaction required to be reported under section 102(a)(5)(B), but in no case later than 45 days after such transaction, the following persons, if required to file a report under any subsection of section 101, subject to any waivers and exclusions, shall file a report of the transaction:</text>

              <enum>(1)</enum>
              <text>The President.</text>
            </paragraph>
            <paragraph id="HEDD84FF13C314EE3ABEA4E635DFD6541">
              <enum>(2)</enum>
              <text>The Vice President.</text>
            </paragraph>
            <paragraph id="H324F49EC01D04DD6A984F8AE06B6C736">
              <enum>(3)</enum>
              <text>Each officer or employee in the executive branch, including a special Government employee as defined in section 202 of title 18, United States Code, who occupies a position classified above GS–15 of the General Schedule or, in the case of positions not under the General Schedule, for which the rate of basic pay is equal to or greater than 120 percent of the minimum rate of basic pay payable for GS–15 of the General Schedule; each member of a uniformed service whose pay grade is at or in excess of O–7 under section 201 of title 37, United States Code; and each officer or employee in any other position determined by the Director of the Office of Government Ethics to be of equal classification.</text>
            </paragraph>
            <paragraph id="HE708FB196CE04B0EB0E8A4135B275C74">
              <enum>(4)</enum>
              <text>Each employee appointed pursuant to section 3105 of title 5, United States Code.</text>
            </paragraph>
            <paragraph id="H2892459B3DF344EEB05FDF066FE91E35">
              <enum>(5)</enum>
              <text>Any employee not described in paragraph (3) who is in a position in the executive branch which is excepted from the competitive service by reason of being of a confidential or policymaking character, except that the Director of the Office of Government Ethics may, by regulation, exclude from the application of this paragraph any individual, or group of individuals, who are in such positions, but only in cases in which the Director determines such exclusion would not affect adversely the integrity of the Government or the public's confidence in the integrity of the Government;</text>
            </paragraph>
            <paragraph id="H7C84E42793384A23A247E037FF96F828">
              <enum>(6)</enum>
              <text>The Postmaster General, the Deputy Postmaster General, each Governor of the Board of Governors of the United States Postal Service and each officer or employee of the United States Postal Service or Postal Regulatory Commission who occupies a position for which the rate of basic pay is equal to or greater than 120 percent of the minimum rate of basic pay payable for GS–15 of the General Schedule.</text>
            </paragraph>
            <paragraph id="H1F55F770F5C144CA8B5245FC3D6E90F8">
              <enum>(7)</enum>
              <text>The Director of the Office of Government Ethics and each designated agency ethics official.</text>
            </paragraph>

              <text>Any civilian employee not described in paragraph (3), employed in the Executive Office of the President (other than a special government employee) who holds a commission of appointment from the President.</text>
            </paragraph>

              <enum>(9)</enum>
              <text>A Member of Congress, as defined under section 109(12).</text>
            </paragraph>

          </subsection>

      </subsection>

        <enum>(b)</enum>
        <header>Effective date</header>
        <text>The amendment made by subsection (a) shall apply to transactions occurring on or after the date that is 90 days after the date of enactment of this Act.</text>
      </subsection>
    </section>
    <section id="ID2bb0435d54f54add9aa8819ed926846e">
      <enum>7.</enum>
      <header>Report on political intelligence activities</header>
      <subsection id="ID81f12fdc925a4bcba146f05c30ab5c3f">
        <enum>(a)</enum>
        <header>Report</header>
        <paragraph id="id8A5C201539334D1D90AF43E4640A8C89">
          <enum>(1)</enum>
          <header>In general</header>
          <text>Not later than 12 months after the date of enactment of this Act, the Comptroller General of the United States, in consultation with the Congressional Research Service, shall submit to the Committee on Homeland Security and Governmental Affairs of the Senate and the Committee on Oversight and Government Reform and the Committee on the Judiciary of the House of Representatives a report on the role of political intelligence in the financial markets.</text>
        </paragraph>
        <paragraph id="id680B1C5EE9A6487F98169EE9DA5A548C">
          <enum>(2)</enum>
          <header>Contents</header>
          <text>The report required by this section shall include a discussion of—</text>
          <subparagraph id="ID0dd5ffc3a1274ce0a2ff2ab7e3d3cbea">
            <enum>(A)</enum>
            <text>what is known about the prevalence of the sale of political intelligence and the extent to which investors rely on such information;</text>
          </subparagraph>
          <subparagraph id="IDaedafd1fbca34d639d955dc43b730d74">
            <enum>(B)</enum>
            <text>what is known about the effect that the sale of political intelligence may have on the financial markets;</text>
          </subparagraph>
          <subparagraph id="idC31E287DFB7646358DF5402884C9ED15">
            <enum>(C)</enum>
            <text>the extent to which information which is being sold would be considered nonpublic information;</text>
          </subparagraph>
          <subparagraph id="ID7e52c862aa5f40e788cbf683520a9790">
            <enum>(D)</enum>
            <text>the legal and ethical issues that may be raised by the sale of political intelligence;</text>
          </subparagraph>
          <subparagraph id="ID07698573a6f048b093f8afe50ef5bbc3">
            <enum>(E)</enum>
            <text>any benefits from imposing disclosure requirements on those who engage in political intelligence activities; and</text>
          </subparagraph>
          <subparagraph id="IDa2a3151e4f2541c79ebe0d682417f399">
            <enum>(F)</enum>
            <text>any legal and practical issues that may be raised by the imposition of disclosure requirements on those who engage in political intelligence activities.</text>
          </subparagraph>
        </paragraph>
      </subsection>
      <subsection id="IDeb39e528f5b24d289a31beba43a54af9">
        <enum>(b)</enum>
        <header>Definition</header>
        <text>For purposes of this section, the term <quote>political intelligence</quote> shall mean information that is—</text>
        <paragraph id="ID519d14e94cac4b56b0ef39d4c5a4b566">
          <enum>(1)</enum>
          <text>derived by a person from direct communications with an executive branch employee, a Member of Congress, or an employee of Congress; and</text>
        </paragraph>
        <paragraph id="ID8317eb97326c4a7fa80d62d875deadb5">
          <enum>(2)</enum>
          <text>provided in exchange for financial compensation to a client who intends, and who is known to intend, to use the information to inform investment decisions.</text>
        </paragraph>
      </subsection>
    </section>
    <section id="id0AB22A70473B44EAA0BE8BFFE1E962D2">
      <enum>8.</enum>
      <header>Public filing and disclosure of financial disclosure forms of members of congress and congressional staff</header>
      <subsection id="id4C3CB8A53CA649F8B79D070C22919DA8">
        <enum>(a)</enum>
        <header>Public, online disclosure of financial disclosure forms of members of congress and congressional staff</header>
        <paragraph id="idCA4E002CE7D34B6DB83BB9ABE669A81E">
          <enum>(1)</enum>
          <header>In general</header>
          <text>Not later than August 31, 2012, or 90 days after the date of enactment of this Act, whichever is later, the Secretary of the Senate and the Sergeant at Arms of the Senate, and the Clerk of the House of Representatives, shall ensure that financial disclosure forms filed by Members of Congress, candidates for Congress, and employees of Congress in calendar year 2012 and in subsequent years pursuant to title I of the Ethics in Government Act of 1978 are made available to the public on the respective official websites of the Senate and the House of Representatives not later than 30 days after such forms are filed.</text>
        </paragraph>
        <paragraph id="idE2E9FDA99D5B46B2B49EB9AE5A54E1A5">
          <enum>(2)</enum>
          <header>Extensions</header>
          <text>Notices of extension for financial disclosure shall be made available electronically under this subsection along with its related disclosure.</text>
        </paragraph>
        <paragraph id="id8A7F9C5A1BC7447DA67CA1FF26F57CFE">
          <enum>(3)</enum>
          <header>Reporting transactions</header>
          <text>In the case of a transaction disclosure required by section 103(l) of the Ethics in Government Act of 1978, as added by this Act, such disclosure shall be filed not later than the date required by that section. Notices of extension for transaction disclosure shall be made available electronically under this subsection along with its related disclosure.</text>
        </paragraph>
        <paragraph id="id431B30FE70BA4476AB9ECFBE25E051F6">
          <enum>(4)</enum>
          <header>Expiration</header>
          <text>The requirements of this subsection shall expire upon implementation of the public disclosure system established under subsection (b).</text>
        </paragraph>
      </subsection>

        <enum>(b)</enum>
        <header>Electronic filing and online public availability of financial disclosure forms of members of congress, Officers of the House and Senate, and congressional staff</header>
        <paragraph id="idCC732D18B70D4FB5BF0A15AD273DD0AB">
          <enum>(1)</enum>
          <header>In general</header>
          <text>Subject to paragraph (6) and not later than 18 months after the date of enactment of this Act, the Secretary of the Senate and the Sergeant at Arms of the Senate and the Clerk of the House of Representatives shall develop systems to enable—</text>
          <subparagraph id="idAEFEA44F0BE044A5A537CCF24AC2DDEF">
            <enum>(A)</enum>
            <text>electronic filing of reports received by them pursuant to section 103(h)(1)(A) of title I of the Ethics in Government Act of 1978; and</text>
          </subparagraph>
          <subparagraph id="id8527A02F2B4D4C628249A4745E2161FC">
            <enum>(B)</enum>
            <text>public access to financial disclosure reports filed by Members of Congress, candidates for Congress, and employees of Congress, as well as reports of a transaction disclosure required by section 103(l) of the Ethics in Government Act of 1978, as added by this Act, notices of extensions, amendments, and blind trusts, pursuant to title I of the Ethics in Government Act of 1978, through databases that—</text>
            <clause id="id0B151772E4D44CC385F927ABE5146A87">
              <enum>(i)</enum>
              <text>are maintained on the official websites of the House of Representatives and the Senate; and</text>
            </clause>
            <clause id="id9EC029EFDF194634A7726CF7CDC93806">
              <enum>(ii)</enum>
              <text>allow the public to search, sort, and download data contained in the reports.</text>
            </clause>
          </subparagraph>
        </paragraph>
        <paragraph id="id4450C709F8114E4593AC14B07A84C87C">
          <enum>(2)</enum>
          <header>Login</header>
          <text>No login shall be required to search or sort the data contained in the reports made available by this subsection. A login protocol with the name of the user shall be utilized by a person downloading data contained in the reports. For purposes of filings under this section, section 105(b)(2) of the Ethics in Government Act of 1978 does not apply.</text>
        </paragraph>
        <paragraph id="idC218BA5AF63547418F42F78CEDCEEF66">
          <enum>(3)</enum>
          <header>Public availability</header>
          <text>Pursuant to section 105(b)(1) of the Ethics in Government Act of 1978, electronic availability on the official websites of the Senate and the House of Representatives under this subsection shall be deemed to have met the public availability requirement.</text>
        </paragraph>
        <paragraph id="id02E9CD8F086949B69C1776AF91DB407C">
          <enum>(4)</enum>
          <header>Filers covered</header>
          <text display-inline="yes-display-inline">Individuals required under the Ethics in Government Act of 1978 or the Senate Rules to file financial disclosure reports with the Secretary of the Senate or the Clerk of the House of Representatives shall file reports electronically using the systems developed by the Secretary of the Senate, the Sergeant at Arms of the Senate, and the Clerk of the House of Representatives.</text>
        </paragraph>
        <paragraph id="idE36036E0B8AA4303B007915DCC1FEECE">
          <enum>(5)</enum>
          <header>Extensions</header>
          <text>Notices of extension for financial disclosure shall be made available electronically under this subsection along with its related disclosure.</text>
        </paragraph>
        <paragraph id="id6A8CFA0B373C471E800B87DDF5DB0576">
          <enum>(6)</enum>
          <header>Additional time</header>
          <text display-inline="yes-display-inline">The requirements of this subsection may be implemented after the date provided in paragraph (1) if the Secretary of the Senate or the Clerk of the House of Representatives identifies in writing to relevant congressional committees the additional time needed for such implementation.</text>
        </paragraph>
      </subsection>
      <subsection id="id67BBE8EADC914446871E9ED103AD82BE">
        <enum>(c)</enum>
        <header>Recordkeeping</header>
        <text>Section 105(d) of the Ethics in Government Act of 1978 (5 U.S.C. App. 105(d)) is amended to read as follows:</text>

            <enum>(d)</enum>

              <enum>(1)</enum>
              <text display-inline="yes-display-inline">Any report filed with or transmitted to an agency or supervising ethics office or to the Clerk of the House of Representatives or the Secretary of the Senate pursuant to this title shall be retained by such agency or office or by the Clerk of the House of Representatives or the Secretary of the Senate, as the case may be.</text>
            </paragraph>
            <paragraph id="idB4A8E8BE433542F3B75A52A817F60FA3" indent="up1">
              <enum>(2)</enum>
              <text>Such report shall be made available to the public—</text>
              <subparagraph id="idC00E884AC43B46618D3789E325F3738A">
                <enum>(A)</enum>
                <text>in the case of a Member of Congress until a date that is 6 years from the date the individual ceases to be a Member of Congress; and</text>
              </subparagraph>
              <subparagraph id="id262309255AF240A496AA1592830E5B7F">
                <enum>(B)</enum>
                <text>in the case of all other reports filed pursuant to this title, for a period of 6 years after receipt of the report.</text>
              </subparagraph>
            </paragraph>
            <paragraph id="id057C4AC1FA074536A1FCC5D1DF8602CD" indent="up1">
              <enum>(3)</enum>
              <text>After the relevant time period identified under paragraph (2), the report shall be destroyed unless needed in an ongoing investigation, except that in the case of an individual who filed the report pursuant to section 101(b) and was not subsequently confirmed by the Senate, or who filed the report pursuant to section 101(c) and was not subsequently elected, such reports shall be destroyed 1 year after the individual either is no longer under consideration by the Senate or is no longer a candidate for nomination or election to the Office of President, Vice President, or as a Member of Congress, unless needed in an ongoing investigation or inquiry.</text>
            </paragraph>
          </subsection>

      <enum>9.</enum>
      <header>Other Federal officials</header>

        <enum>(a)</enum>
        <header>Prohibition of the use of nonpublic information for private profit</header>
        <paragraph id="idB2703E3421FE49FAA2CCB6746EAF30A6">
          <enum>(1)</enum>
          <header>Executive branch employees</header>
          <text display-inline="yes-display-inline">The Office of Government Ethics shall issue such interpretive guidance of the relevant Federal ethics statutes and regulations, including the Standards of Ethical Conduct for executive branch employees, related to use of nonpublic information, as necessary to clarify that no executive branch employee may use nonpublic information derived from such person’s position as an executive branch employee or gained from the performance of such person’s official responsibilities as a means for making a private profit.</text>
        </paragraph>
        <paragraph id="idADB1DB439F5548309F8D7B9AB8B8A63B">
          <enum>(2)</enum>
          <header>Judicial officers</header>
          <text display-inline="yes-display-inline">The Judicial Conference of the United States shall issue such interpretive guidance of the relevant ethics rules applicable to Federal judges, including the Code of Conduct for United States Judges, as necessary to clarify that no judicial officer may use nonpublic information derived from such person’s position as a judicial officer or gained from the performance of such person’s official responsibilities as a means for making a private profit.</text>
        </paragraph>
        <paragraph id="HC38C20DF58CB4AB996EDE21186CB1213">
          <enum>(3)</enum>
          <header>Judicial employees</header>
          <text display-inline="yes-display-inline">The Judicial Conference of the United States shall issue such interpretive guidance of the relevant ethics rules applicable to judicial employees as necessary to clarify that no judicial employee may use nonpublic information derived from such person’s position as a judicial employee or gained from the performance of such person’s official responsibilities as a means for making a private profit. </text>
        </paragraph>
      </subsection>
      <subsection id="id939EC914D1D946999802F2A97BE41F98">
        <enum>(b)</enum>
        <header>Application of insider trading laws</header>
        <paragraph id="id917B2A73850A4C39B1EF71129F67D236">
          <enum>(1)</enum>
          <header>Affirmation of non-exemption</header>
          <text display-inline="yes-display-inline">Executive branch employees, judicial officers, and judicial employees are not exempt from the insider trading prohibitions arising under the securities laws, including section 10(b) of the Securities Exchange Act of 1934 and Rule 10b–5 thereunder.</text>
        </paragraph>

          <enum>(2)</enum>
          <header>Duty</header>

            <enum>(A)</enum>

                  </subparagraph>
                </paragraph>

                  <enum>(3)</enum>
                  <header>Rule of construction</header>
                  <text display-inline="yes-display-inline">Nothing in this subsection shall be construed to impair or limit the construction of the existing antifraud provisions of the securities laws or the authority of the Commission under those provisions.</text>

    </section>
    <section id="idEE99290CE67644D497C126B8C52F142E">
      <enum>10.</enum>
      <header>Rule of construction</header>
      <text display-inline="no-display-inline">Nothing in this Act, the amendments made by this Act, or the interpretive guidance to be issued pursuant to sections 3 and 9 of this Act, shall be construed to—</text>
      <paragraph id="idFEB657720A6349D89D3FD20019148AFD">
        <enum>(1)</enum>
        <text display-inline="yes-display-inline">impair or limit the construction of the antifraud provisions of the securities laws or the Commodity Exchange Act or the authority of the Securities and Exchange Commission or the Commodity Futures Trading Commission under those provisions;</text>
      </paragraph>
      <paragraph id="idE0AE2F7114664D88BBD27D4EB442AD46">
        <enum>(2)</enum>
        <text display-inline="yes-display-inline">be in derogation of the obligations, duties, and functions of a Member of Congress, an employee of Congress, an executive branch employee, a judicial officer, or a judicial employee, arising from such person’s official position; or</text>
      </paragraph>
      <paragraph id="idC6FA2C94F91C48F08E12AEE7143D7A6F">
        <enum>(3)</enum>
        <text display-inline="yes-display-inline">be in derogation of existing laws, regulations, or ethical obligations governing Members of Congress, employees of Congress, executive branch employees, judicial officers, or judicial employees.</text>
      </paragraph>
    </section>

      <enum>11.</enum>
      <header>Executive branch reporting</header>

        <enum>(a)</enum>
        <header>Executive branch reporting</header>

          <enum>(1)</enum>
          <header>In general</header>
          <text display-inline="yes-display-inline">Not later than August 31, 2012, or 90 days after the date of enactment of this Act, whichever is later, the President shall ensure that financial disclosure forms filed pursuant to title I of the Ethics in Government Act of 1978 (5 U.S.C. App. 101 et seq.), in calendar year 2012 and in subsequent years, by executive branch employees specified in section 101 of that Act are made available to the public on the official websites of the respective executive branch agencies not later than 30 days after such forms are filed.</text>
        </paragraph>
        <paragraph id="H4BFB39FF0FD9427BA53D009A37BF7CA1" commented="no">
          <enum>(2)</enum>
          <header>Extensions</header>
          <text>Notices of extension for financial disclosure shall be made available electronically along with the related disclosure.</text>
        </paragraph>
        <paragraph id="H6115FADDAE2B460EB8DAE4E63B1E0122" commented="no">
          <enum>(3)</enum>
          <header>Reporting transactions</header>
          <text display-inline="yes-display-inline">In the case of a transaction disclosure required by section 103(l) of the Ethics in Government Act of 1978, as added by this Act, such disclosure shall be filed not later than the date required by that section. Notices of extension for transaction disclosure shall be made available electronically under this subsection along with its related disclosure.</text>
        </paragraph>

          <enum>(4)</enum>
          <header>Expiration</header>
          <text>The requirements of this subsection shall expire upon implementation of the public disclosure system established under subsection (b).</text>
        </paragraph>
      </subsection>

        <enum>(b)</enum>
        <header>Electronic filing and online public availability of financial disclosure forms of certain executive branch employees</header>
        <paragraph id="H740BC73AF4E34A6EB618699457B02058">
          <enum>(1)</enum>
          <header>In general</header>
          <text>Subject to paragraph (6), and not later than 18 months after the date of enactment of this Act, the President, acting through the Director of the Office of Government Ethics, shall develop systems to enable—</text>

            <text>electronic filing of reports required by section 103 of the Ethics in Government Act of 1978 (5 U.S.C. App. 103), other than subsection (h) of such section; and</text>

            <enum>(B)</enum>
            <text>public access to financial disclosure reports filed by executive branch employees required to file under section 101 of that Act (5 U.S.C. App. 101), as well as reports of a transaction disclosure required by section 103(l) of that Act, as added by this Act, notices of extensions, amendments, and blind trusts, pursuant to title I of that Act, through databases that—</text>

          <header>Additional time</header>
          <text>The requirements of this subsection may be implemented after the date provided in paragraph (1) if the Director of the Office of Government Ethics, after consultation with the Clerk of the House of Representatives and Secretary of the Senate, identifies in writing to relevant congressional committees the additional time needed for such implementation.</text>
        </paragraph>
      </subsection>
    </section>
    <section id="HC9D8585D00E84CA597E85A2B3E0F3E0B">
      <enum>12.</enum>
      <header>Participation in initial public offerings</header>
      <text display-inline="no-display-inline">Section 21A of the Securities Exchange Act of 1934 (15 U.S.C. 78u–1), as amended by this Act, is further amended by adding at the end the following:</text>

          <text display-inline="yes-display-inline">An individual described in section 101(f) of the Ethics in Government Act of 1978 may not purchase securities that are the subject of an initial public offering (within the meaning given such term in section 12(f)(1)(G)(i)) in any manner other than is available to members of the public generally.</text>
        </subsection>

        <text display-inline="yes-display-inline">Section 102(a)(4)(A) of the Ethics in Government Act of 1978 (5 U.S.C. App. 102(a)(4)(A)) is amended by striking <quote>spouse; and</quote> and inserting the following: “spouse, except that this exception shall not apply to a reporting individual—</text>

                <text>in the uniformed services for which the pay grade prescribed by section 201 of title 37, United States Code is O–6 or below; or</text>
              </item>
            </subclause>

              <enum>(II)</enum>
              <text>a special government employee, as defined under section 202 of title 18, United States Code; or</text>
            </subclause>
          </clause>

            <enum>(iii)</enum>
            <text display-inline="yes-display-inline">described in section 101(f) who is in a position in the executive branch the appointment to which is made by the President and requires advice and consent of the Senate, other than—</text>

      </subsection>

        <enum>(b)</enum>
        <header>Effective date</header>
        <text>The amendment made by subsection (a) shall apply with respect to reports which are required to be filed under section 101 of the Ethics of Government Act of 1978 on or after the date of the enactment of this Act.</text>
      </subsection>
    </section>
    <section id="id22CF09C9D86843209DEEFCC87B97A296">
      <enum>14.</enum>
      <header>Transaction reporting requirements</header>
      <text display-inline="no-display-inline">The transaction reporting requirements established by section 103(l) of the Ethics in Government Act of 1978, as added by section 6 of this Act, shall not be construed to apply to a widely held investment fund (whether such fund is a mutual fund, regulated investment company, pension or deferred compensation plan, or other investment fund), if—</text>

      <enum>16.</enum>
      <header>Limitation on bonuses to executives of Fannie Mae and Freddie Mac</header>
      <text display-inline="no-display-inline">Notwithstanding any other provision in law, senior executives at the Federal National Mortgage Association and the Federal Home Loan Mortgage Corporation are prohibited from receiving bonuses during any period of conservatorship for those entities on or after the date of enactment of this Act.</text>
    </section>

      <enum>17.</enum>
      <header>Post-employment negotiation restrictions</header>
      <subsection id="HB46DA8A8F8FC41099433B22B7545C88A">
        <enum>(a)</enum>
        <header>Restriction extended to executive and judicial branches</header>
        <text display-inline="yes-display-inline">Notwithstanding any other provision of law, an individual required to file a financial disclosure report under section 101 of the Ethics in Government Act of 1978 (5 U.S.C. App. 101) may not directly negotiate or have any agreement of future employment or compensation unless such individual, within 3 business days after the commencement of such negotiation or agreement of future employment or compensation, files with the individual’s supervising ethics office a statement, signed by such individual, regarding such negotiations or agreement, including the name of the private entity or entities involved in such negotiations or agreement, and the date such negotiations or agreement commenced.</text>
      </subsection>
      <subsection id="H36F606488A1A41679EF55ADD324F590E">
        <enum>(b)</enum>
        <header>Recusal</header>
        <text display-inline="yes-display-inline">An individual filing a statement under subsection (a) shall recuse himself or herself whenever there is a conflict of interest, or appearance of a conflict of interest, for such individual with respect to the subject matter of the statement, and shall notify the individual’s supervising ethics office of such recusal. An individual making such recusal shall, upon such recusal, submit to the supervising ethics office the statement under subsection (a) with respect to which the recusal was made.</text>
      </subsection>
    </section>

      <enum>18.</enum>
      <header>Wrongfully influencing private entities employment decisions by legislative and executive branch officers and employees</header>
